With further reference to Your Excellency's letter
dated the 2nd March, 1931, in which was enclosed a copy of
a petition received from Mrs.Brewer, with reference to the
conviction of her husband, Mr.Noel Instone Brewer, I have
the honour to submit to Your Excellency the following
memorandum.

Mr.Brewer was at the Criminal Sessions held in
January, 1930, tried before myself and a jury and convicted
of a statutory misdemeanour under section 7 of the Perjury
Ordinance, 1922. The partinent portion of this section is
as follows:- "Every person who knowingly and wilfully
"makes (otherwise than on oath) a statement false in material
"particular, such statement being made ...................
in a
"....which he is authorised or required to make....by any
"enactment for the time being in force, shall be guilty of
"a misdemeanour etc. etc." Under the Companies Ordinance,
(No.58 of 1911) section 66(2), the directors of a company
are required, at least seven days before the day on which
the first statutory meeting of such company may be held', to
furnish a report called "the statutory report" in the English
language, to every member of the company. Such statutory
report must be certified (section 66(3)) by at least two
directors (where more than one director exists): and must
state "the total number of shares allotted, distinguishing
"shares allotted as fully or partly paid up otherwise that in
"cash
